1. Introduction

These Website Terms of Use (“Terms”) govern your access to and use of the website at 8hexa.com, including its pages, content, forms and functions (“Website”).

The Website is operated by 8Hexa Financial Pte. Ltd. (“8Hexa”, “we”, “us” or “our”), a company incorporated in Singapore.

By accessing, browsing or using the Website, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree with these Terms, you should discontinue your use of the Website.

These Terms should be read together with our Privacy Policy.

2. Scope of These Terms

These Terms apply only to:

  • your use of the public Website;

  • business enquiries submitted through the Website;

  • communications initiated through the Website; and

  • employment, internship or trainee applications submitted through the Website.
     

These Terms do not govern the provision of payment services, foreign-exchange transactions, client onboarding, transaction execution or other regulated services.

Any payment service or business relationship with 8Hexa will be governed by separate documents, which may include:

  • client service agreements;

  • onboarding and compliance documents;

  • privacy notices;

  • fee schedules;

  • transaction instructions;

  • foreign-exchange quotations;

  • payment confirmations; and

  • terms imposed by relevant banks, financial institutions or service partners.
     

Where there is any inconsistency between these Website Terms and a separate agreement relating to an actual service or transaction, the separate agreement will prevail in relation to that service or transaction.

3. Regulatory Status

8Hexa Financial Pte. Ltd. is licensed by the Monetary Authority of Singapore as a Standard Payment Institution to provide:

  • cross-border money transfer services; and

  • money-changing services, under the Payment Services Act 2019.
     

8Hexa is not a bank.

Certain solutions described on the Website may be provided, facilitated or supported through banks, licensed financial institutions, payment service providers or other third-party partners.

The availability of any service or solution is subject to matters including:

  • successful client onboarding;

  • know-your-customer or know-your-business checks;

  • transaction screening;

  • supported countries and currencies;

  • transaction purpose and supporting documents;

  • applicable limits and restrictions;

  • partner approval and availability;

  • banking cut-off times; and

  • applicable laws and regulatory requirements.
     

Nothing on the Website represents that every service described is provided directly by 8Hexa under its own licence.

4. General Information Only

The content of the Website is provided for general information about 8Hexa and its business activities.

Nothing on the Website constitutes:

  • a binding offer to provide any service;

  • acceptance of a client or transaction;

  • a commitment to open or maintain an account;

  • a binding foreign-exchange quotation;

  • a guarantee of payment or settlement;

  • a solicitation to enter into a transaction;

  • financial, investment, legal, tax or accounting advice; or

  • a representation that a particular service is available to you or in a particular jurisdiction.
     

Submitting an enquiry does not create a client relationship, payment-service relationship, agency relationship, fiduciary relationship or other contractual relationship with 8Hexa.

A contractual relationship will arise only when the relevant agreement has been accepted by authorised representatives and all applicable onboarding and compliance requirements have been satisfied.

5. Service Descriptions and Availability

The Website may describe payment solutions, currencies, countries, payment corridors, settlement arrangements and partner-supported services.

These descriptions are general and may be changed without prior notice.

The inclusion of a service, country, currency, payment method or transaction type on the Website does not guarantee that it is:

  • currently available;

  • available to every client;

  • available for every transaction purpose;

  • provided directly by 8Hexa;

  • available at a particular price;

  • available within a particular settlement period; or

  • permitted under applicable laws or regulatory requirements.
     

We may decline, suspend or discontinue any service, corridor, transaction or proposed business relationship where reasonably necessary for legal, regulatory, compliance, operational, risk-management or commercial reasons.

6. Rates, Fees and Settlement Information

Any exchange rate, fee, processing time, settlement period, transaction limit or other commercial information displayed or referred to on the Website is indicative only unless expressly stated otherwise in a written quotation or transaction confirmation issued by 8Hexa.
Foreign-exchange rates, fees and payment conditions may change due to factors including:

  • market movements;

  • liquidity conditions;

  • transaction size;

  • currency availability;

  • banking and partner charges;

  • compliance requirements;

  • processing cut-off times;

  • public holidays;

  • intermediary-bank requirements; and

  • market or operational disruptions.
     

A rate is not fixed or binding merely because it has been discussed, displayed on the Website or included in an initial communication.

A rate or transaction becomes binding only in accordance with the applicable client agreement and transaction-confirmation process.

7. Business Enquiries

When submitting a business enquiry through the Website, you agree to:

  • provide information that is accurate and not misleading;

  • provide information that you are authorised to disclose;

  • avoid impersonating another individual or organisation;

  • update or correct material information where necessary; and

  • comply with reasonable verification requests.
     

You should not submit identification documents, bank-account credentials, passwords, payment-card information, digital-wallet private keys or other sensitive financial information through the general contact form.

Where such information is required, 8Hexa will provide instructions regarding an appropriate submission channel.

We may use the information submitted to:

  • understand your business requirements;

  • conduct a preliminary eligibility or compliance assessment;

  • contact you regarding your enquiry;

  • refer your enquiry to appropriate internal personnel; and

  • determine whether 8Hexa or a relevant partner may be able to support your requirements.
     

We are not obliged to respond to, proceed with or accept any enquiry.

8. No Payment Instructions Through the Website

The general contact form must not be used to submit:

  • payment instructions;

  • beneficiary details;

  • amendments to payment instructions;

  • transaction cancellations;

  • foreign-exchange orders;

  • account credentials; or

  • urgent or time-sensitive transaction requests.
     

Payment instructions will only be accepted through the authorised channels specified in the relevant client agreement and operating procedures.

8Hexa is not responsible for any delay, loss or failure arising from payment or transaction instructions submitted through an unauthorised channel.

9. Employment and Internship Applications

Any job, internship or trainee position displayed on the Website may be changed, suspended, filled or withdrawn at any time.

Submitting an application does not:

  • guarantee an interview;

  • guarantee that the application will be considered;

  • constitute an offer of employment; or

  • create an employment, agency or contractual relationship.
     

Applicants are responsible for ensuring that:

  • the information submitted is accurate;

  • the documents submitted are genuine;

  • they have the right to provide the relevant information; and

  • they have the necessary authority or consent to provide information relating to referees or other individuals.
     


Personal data submitted for recruitment purposes will be handled in accordance with our Privacy Policy and applicable law.

10. Permitted Use

You may use the Website for lawful informational, business-enquiry and recruitment purposes.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable permission to access and use the Website for your personal or internal business purposes.

This permission does not transfer any ownership or intellectual-property rights to you.

  • the partner may conduct its own onboarding and compliance assessment;

  • the partner may impose additional terms, fees or restrictions;

  • the partner may accept or reject a proposed client or transaction;

  • the partner may process or hold relevant information;

  • settlement may depend on the partner’s systems and banking arrangements; and

  • service availability may change according to the partner’s requirements.


Unless otherwise stated in a written agreement, 8Hexa is not responsible for the independent acts, omissions, systems or services of a third-party provider.

Nothing in this section excludes responsibility that 8Hexa is required to assume under applicable law or an agreement entered into with a client.

15. Privacy and Cookies

Our collection, use, disclosure, protection and retention of personal data obtained through the Website are described in our Privacy Policy.

The Website may use cookies and similar technologies for essential functionality, security, preference management and, where permitted, Website analytics.

By submitting personal data through the Website, you confirm that:

  • the information is accurate to the best of your knowledge;

  • you are authorised to provide it; and

  • you have reviewed the applicable Privacy Policy.
     

Where you provide personal data relating to another person, you are responsible for ensuring that you have the necessary authority or consent to do so.

  • free from malicious software;

  • compatible with every device or browser; or

  • secure from every unauthorised attempt or cybersecurity threat. 
     

We may suspend, withdraw, restrict or modify any part of the Website for maintenance, security, legal, operational or business reasons.

8Hexa excludes all representations, conditions and warranties, whether express, implied or statutory, relating to the Website, including implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement, to the extent that such exclusions are legally permitted and reasonable.

Nothing in these Terms excludes any warranty, condition or obligation that cannot lawfully be excluded.

20. Limitation of Liability


Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • wilful misconduct; or

  • any other liability that cannot lawfully be excluded or limited.

Subject to the above and to the fullest extent permitted by applicable law, 8Hexa will not be liable for any loss or damage arising from or relating to:

  • reliance on general information published on the Website;

  • any decision made or action taken based on Website content;

  • interruption, unavailability or malfunction of the Website;

  • errors, omissions or outdated information on the Website;

  • communications submitted through unauth  orised or insecure channels;

  • viruses, malicious software or cybersecurity incidents outside our reasonable control;

  • third-party websites, systems, products or services;

  • the acts or omissions of independent third-party service providers; or

  • events outside our reasonable control.

To the fullest extent permitted by law, 8Hexa will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business opportunity, anticipated savings, goodwill, reputation or data arising from the use of, or inability to use, the Website.


The exclusions and limitations in this section apply only to the public Website.


Any liability arising from client onboarding, payment services, foreign-exchange transactions, transaction execution or partner-supported services will be governed by the relevant client agreement and applicable transaction terms.


21. Indemnity for Misuse


To the extent permitted by law, you agree to indemnify 8Hexa and its directors, officers and employees against reasonable losses, claims, liabilities and costs arising directly from:

  • your unlawful or deliberate misuse of the Website;

  • your material breach of these Terms;

  • information or material submitted by you that infringes another person’s rights; or

  • fraudulent or intentionally misleading information submitted by you.

This indemnity does not apply to the extent that the relevant loss was caused by 8Hexa’s own negligence, fraud or wilful misconduct.


22. Suspension and Termination of Access


We may suspend, restrict or terminate your access to all or part of the Website where we reasonably believe that:

  • you have breached these Terms;

  • your use creates a legal, regulatory, security or operational risk;

  • your activity may harm 8Hexa, another person or the Website;

  • access is required to be restricted by law or a competent authority; or

  • suspension is necessary for maintenance or security.

Termination or suspension does not affect any rights or liabilities that arose before the action was taken.


23. Changes to the Website and These Terms


We may modify the Website or these Terms from time to time.

Changes will take effect when published unless otherwise stated. Your continued use of the Website after revised Terms are published constitutes acceptance of the revised Terms.

24. Severability


If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified to the minimum extent necessary or treated as removed.


The remaining provisions will continue in full force and effect.


25. No Waiver


A failure or delay by 8Hexa in exercising a right or remedy under these Terms does not constitute a waiver of that right or remedy.

 

A waiver is effective only if made in writing by an authorised representative of 8Hexa.


26. Assignment


You may not assign or transfer your rights or obligations under these Terms without our prior written consent.


We may assign or transfer our rights and obligations in connection with a corporate restructuring, merger, acquisition, transfer of business or transfer to a related entity, subject to applicable law.


27. Third-Party Rights


A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any provision of these Terms.


28. Governing Law and Jurisdiction


These Terms and any dispute or claim arising from or relating to the Website are governed by the laws of Singapore.
You agree to submit to the exclusive jurisdiction of the courts of Singapore.
